Sorry, I will not be helpful on the sound issue.
Just wanted to suggest you to handle interlacing by using "-vf pp=md" or telling
xvid the stuff is interlaced, as you have me_quality=6 so you apparently want a high
quality encoding (side note: -vop is obsoleted by -vf).
